Terms of Service

Overview
These Terms of Service govern engagement with NY Henry for software development, consulting, and related services. By requesting or purchasing services, you agree to these terms.
Services
Services include web and mobile development, API development, performance optimization, and cloud solutions. Specific scope, timelines, and deliverables are agreed in a written proposal or statement of work.
Client Responsibilities
You agree to provide timely access to materials, content, approvals, and feedback required to complete the project. Delays in client inputs may affect delivery timelines.
Payments and Invoicing
Payment terms are specified in the proposal. Unless otherwise agreed, invoices are due upon receipt. Late payments may pause project work until balances are settled.
Intellectual Property
Upon full payment, you own the final deliverables created specifically for your project. Pre-existing tools, libraries, frameworks, and reusable components remain the property of their respective owners.
Revisions and Changes
Reasonable revisions are included as outlined in the proposal. Requests that expand the agreed scope may require a change order and additional fees.
Third-Party Services
Hosting, domains, APIs, and external platforms may be required. Any third-party terms, fees, and service levels are governed by those providers and are your responsibility unless otherwise stated.
Confidentiality
Both parties agree to keep confidential information private and to use it only for the purpose of delivering the project.
Warranty and Liability
Services are provided on an "as-is" basis. NY Henry does not guarantee uninterrupted availability or error-free operation. To the maximum extent permitted by law, liability is limited to the fees paid for the services that gave rise to the claim.
Termination
Either party may terminate an engagement with written notice. You will be responsible for payment for work completed up to the termination date.
Governing Law
These terms are governed by the laws of Uganda, and any disputes will be resolved in the courts of Uganda.
